THE COMPANIES ACT, 2013 MEMORANDUM OF ASSOCIATION GYANSHAKTI SEVA FOUNDATION (A Company limited by shares not for profit under section 8 of the Companies Act, 2013)

1. The name of the company ( NGO) is “GYANSHAKTI SEVA FOUNDATION” ( Reg. by Govt. of India MCA Registration Number – 431388 ( MCA, Niti Aayog Darpan, E- Anudan, 12A, 80G, CSR, ISO, Startup India )

2. Head office: R/0 A-88/20, GROUND FLOOR, GALI NO.1, SHAkARPUR SHAHDARA, DELHI-110092, INDIA.

3. The objects for which the company is established are:

MAIN OBJECTS TO BE PURSUED BY THE COMPANY ON ITS
INCORPORATION ARE:

(i.) To engage in the task of development and empowerment of economically backward
sections, in particular poor from the under privileged categories and communities and to
establish, setup, conduct, aid, help or otherwise support agencies engaged in the
aforesaid tasks.

(ii.) To support the objects of villages, community-based organizations, self-help groups and
service organizations in building assets for disadvantaged people and providing
resources for their livelihood without having sacrifice to their self-respect and to support
the establishment of board based locally rooted private sector which honors its social and
environmental obligations.

(iii.) To reduce poverty in India, by carrying on the business of providing Micro finance to
the poor section of the population for their socioeconomic development in sustainable
manner and providing credit to persons belonging to poorer sections either individually
or joined together as self-help groups, not with the motive of profit.

(iv.) To promote large section of poor class and thus help them in rise out of poverty, to
empower poor class men & women by helping them by providing collateral free small
loans in starting their any kind of skill oriented works, and to setup, establish, maintain
and operate welfare training centres, skill development programs, social welfare
projects, schemes, institutes in order to support needy men and women to provide health
assistance and guidance in remote and rural areas to uplift the educational and economic
standards of the deprived and weaker sections of the society for the up liftment and
welfare of the rural masses.

(v.) To provide technical, managerial and human resource training and to assist in getting
finances form venture capitalists, Angel Funding and other financial Government / NonGovernment and international- institutions.

(vi.) To encourage and assist the development and growth of craft industries in the villages
including cottage and small and medium enterprises.

(vii.) To provide, guide, educate and to create health awareness program and to promote
Health Care Centre for the underprivileged public.

(viii.) To provide educational support to poor students belonging to economically
disadvantaged, child laborers, disabled, orphans.

(ix.) To organize forums, seminars, camps etc. for spreading good living habits, moral values,
culture, and methods of developing self-confidence etc. and to promote centers
throughout the country for the above activities.
The doing of all such other lawful things as considered necessary for the furtherance
of the above objects. Provided that the company shall not support with its funds, or
endeavor to impose on, or procure to be observed by its members or others, any
regulation or restriction which, as an object of the company, would make it a trade
union.

4. The objects of the company extend to the whole of India.

5. (i) The profits, if any, or other income and property of the company, whensoever’s
derived, shall be applied, solely for the promotion of its objects as set forth in this
memorandum.

(ii.) No portion of the profits, other income or property aforesaid shall be paid or
transferred, directly or indirectly, by way of dividend, bonus or otherwise by way of
profit, to persons who, at any time are, or have been, members of the company or to any
one or more of them or to any persons claiming through any one or more of them.

(iii.) No remuneration or other benefit in money or money’s worth shall be given by the
company to any of its members, whether officers or members of the company or not,
except payment of out-of-pocket expenses, reasonable and proper interest on money lent,
or reasonable and proper rent on premises let to the company.

(iv.) Nothing in this clause shall prevent the payment by the company in good faith of
prudent remuneration to any of its officers or servants (not being members) or to any
other person (not being member), in return for any services actually rendered to the
company.

(v.) Nothing in clauses

(vi) and (vii) shall prevent the payment by the company in good
faith of prudent remuneration to any of its members in return for any services (not being
services of a kind which are required to be rendered by a member), actually rendered to
the company.

6. No alteration shall be made to this memorandum of association or to the articles of
association of the company which are for the time being in force, unless the alteration
has been previously submitted to and approved by the Registrar.

7. The liabilityof the members is limited.

8. The share capital of the company will consist of Rs.1,00,000 (Rupees One Lakh)
divided into 10,000 (Ten Thousand) Equity shares of Rs10 (Rupees Ten) each.

9. True accounts shall be kept of all sums of money received and expended by the
company and the matters in respect of which such receipts and expenditure take place,
and of the property, credits and liabilities of the company; and, subject to any
reasonable restrictions as to the time and manner of inspecting the same that may be
imposed in accordance with the regulations of the company for the time being in force,
the accounts shall be open to the inspection of the members. Once at least in every year,
the accounts of the company shall be examined and the correctness of the balance-sheet
and the income and expenditure account ascertained by one or more properly qualified
auditor or auditors.

10. If upon a winding up or dissolution of the company, there remains, after the satisfaction
of all the debts and liabilities, any property whatsoever, the same shall not be distributed
amongst the members of the company but shall be given or transferred to such other
company having objects similar to the objects of this company, subject to such
conditions as the Tribunal may impose, or may be sold and proceeds thereof credited to
the Rehabilitation and Insolvency Fund formed under section 269 of the Act.

11. The Company can be amalgamated only with another company registered under section
8 of the Act and having similar objects.

Resolution:
The following resolution was passed unanimously by the Board of Directors of
GYANSHAKTI SEVA FOUNDATION:

Resolution No. 1/2024
Subject: Implementation of Paramedical Courses and Awards
Resolved That:

1. GYANSHAKTI SEVA FOUNDATION shall implement paramedical courses aimed at
providing quality education and training in the paramedical field.

2. The foundation shall also establish an awards program to recognize and honor
outstanding achievements and contributions in the paramedical sector.

3. The paramedical courses shall be designed to meet the current industry standards and
requirements, ensuring that students receive up-to-date and relevant training.

4. A committee shall be formed to oversee the development and implementation of these
paramedical courses and the awards program.

5. The foundation shall allocate necessary resources, including funds, staff, and
infrastructure, to ensure the successful execution of the paramedical courses and awards
program.

6. The awards program shall include honoring individuals with various types of awards,
including honorary doctorate (Ph.D.) in all fields.

7. The Directors, Dr. Parmanand Shukla and Kavita Devi, are hereby authorized to take all
necessary actions and steps required to implement this resolution, including but not
limited to, liaising with relevant authorities, securing approvals, and entering into
agreements.
Certification:
We, the undersigned Directors of GYANSHAKTI SEVA FOUNDATION, hereby certify that
the above resolution was duly passed at the Board of Directors meeting held on July 23,
2024, and that it remains in full force and effect
